1. Acceptance of Terms and Conditions

These Terms of Service ("Terms," "Agreement," or "ToS") constitute a legally binding contractual agreement between Helix Human Capital, a subsidiary of RRK Private Limited ("Company," "we," "us," "our," or "Service Provider"), and any individual or entity accessing, utilizing, or engaging with our recruitment and staffing services, website, applications, and related platforms (collectively, the "Services"). By accessing or using the Services in any manner, capacity, or form, you affirmatively acknowledge that you have thoroughly read, fully understood, and unconditionally agree to be bound by all terms, conditions, covenants, and obligations contained herein. If you do not accept these Terms in their entirety, you are strictly prohibited from accessing or utilizing the Services. If you are acting on behalf of an organization, you represent and warrant that you possess full authority to bind such organization to these Terms.

2. Description of Services

Helix Human Capital provides comprehensive recruitment, talent acquisition, and staffing services, including but not limited to:

  • Candidate identification, screening, and assessment services
  • Pre-qualified talent matching and placement facilitation
  • Background verification and compliance screening
  • Skills assessment and organizational alignment evaluation
  • Multi-iteration candidate pipeline management
  • Placement support and retention monitoring services

The Company reserves the right to modify, suspend, or discontinue Services or any portion thereof at any time, with or without notice, for any reason or no reason, including but not limited to operational, technical, legal, or business considerations. Such modifications do not constitute a breach of these Terms and do not obligate the Company to provide compensation or remedies.

3. User Obligations and Responsibilities

Users of the Services agree to:

  • Provide accurate, complete, and truthful information in all submissions
  • Comply with all applicable federal, state, and local laws and regulations
  • Refrain from unauthorized access to systems, databases, or networks
  • Not engage in harassment, discrimination, or defamatory conduct
  • Maintain confidentiality of login credentials and account information
  • Indemnify the Company against claims arising from breaches of these Terms
  • Accept responsibility for all activities conducted through their accounts

4. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties regarding the accuracy, completeness, or reliability of information provided
  • Warranties that Services will be uninterrupted, error-free, or free from viruses or malware
  • Warranties regarding the qualifications, suitability, or job performance of candidates
  • Implied warranties of title or non-infringement of third-party rights

The Company makes no representation that Services are suitable for any particular purpose or compliant with requirements of any jurisdiction. Users access and utilize Services at their own risk and discretion.

5. Limitation of Liability and Damages

IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or business opportunities
  • Loss of anticipated savings or goodwill
  • Damage to reputation or business relationships
  • Costs of cover or substitute services
  • Any other damages, even if advised of the possibility thereof

THE COMPANY'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS, THE SERVICES, OR THE RELATIONSHIP BETWEEN THE PARTIES SHALL NOT EXCEED THE TOTAL FEES PAID BY THE USER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS (₹100.00), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY, SO THE ABOVE LIMITATIONS MAY NOT APPLY.

6. Indemnification

Users agree to indemnify, defend, and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) user's violation of these Terms; (b) user's use or misuse of the Services; (c) user's infringement of any intellectual property or other rights of third parties; (d) user's fraud, negligence, or illegal conduct; or (e) any dispute between user and a third party, including but not limited to employment disputes or contractual disagreements.

7. Intellectual Property Rights

All content, materials, software, designs, trademarks, logos, and other intellectual property contained within the Services ("IP") are owned by or licensed to the Company. Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for lawful purposes consistent with these Terms. Users may not:

  • Reproduce, modify, or create derivative works from the IP
  • Distribute, sublicense, or transfer the IP to third parties
  • Reverse engineer, decompile, or attempt to derive source code
  • Remove, obscure, or alter any copyright, trademark, or proprietary notices
  • Use the IP for commercial purposes without express written authorization

Unauthorized use of the Company's IP may result in civil and criminal liability. The Company retains all rights, title, and interest in the IP not expressly granted herein.

8. Candidate Assessment and Placement Disclaimers

The Company provides assessments, evaluations, and recommendations based on available information and industry standards. However:

  • Assessments do not guarantee job performance, cultural fit, or organizational success
  • The Company does not guarantee candidate availability, retention, or performance post-placement
  • Employers retain full responsibility for final hiring decisions and employment matters
  • The Company is not responsible for employment disputes, contract breaches, or candidate performance issues
  • Background verification results are based on third-party information and are not infallible
  • The Company's retention rate guarantee applies only under specific conditions outlined in separate agreements

9. Confidentiality and Non-Disclosure

Users acknowledge that they may receive confidential information regarding candidates, employers, methodologies, pricing, and business practices. Users agree to maintain strict confidentiality and refrain from disclosing such information to unauthorized third parties without prior written consent. This obligation survives termination of these Terms indefinitely. Unauthorized disclosure may result in injunctive relief, monetary damages, and other legal remedies.

10. Termination of Services

The Company may terminate or suspend user access to Services immediately and without notice for:

  • Violation of these Terms or applicable law
  • Breach of confidentiality or intellectual property obligations
  • Fraudulent activity or misrepresentation
  • Failure to pay fees or comply with payment terms
  • Any conduct the Company deems detrimental to its business interests

Users may terminate their account by providing written notice, though users remain liable for fees incurred prior to termination. Upon termination, all licenses granted herein immediately cease, and users must return or destroy all Company materials.

11. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in India. Users irrevocably consent to such jurisdiction and waive objections regarding inconvenient forum.

Before initiating litigation, parties agree to attempt in good faith to resolve disputes through negotiation. If negotiation proves unsuccessful, disputes may proceed to arbitration or litigation as permitted by law.

12. Severability and Waiver

If any provision of these Terms is found to be invalid, unenforceable, or illegal, such provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, shall be severed. The remaining provisions shall continue in full force and effect. No waiver of any provision or breach of these Terms shall constitute a waiver of any other provision or subsequent breach.

13. Entire Agreement

These Terms, together with any separate written agreements executed between the parties, constitute the entire agreement regarding the Services and supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether written or oral. No course of dealing, course of performance, or trade practice shall modify these Terms.

14. Amendments and Modifications

The Company reserves the right to modify, amend, or supplement these Terms at any time at its sole discretion. Significant changes will be communicated via email or website notice. Continued use of the Services following such modifications constitutes acceptance thereof. Users are responsible for regularly reviewing these Terms for updates.
